Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Pivot COA(the “Service”), including the website hosted at pivotmgmt.coand any related pages that publish certificates of analysis (“COAs”) or lab results. The Service is operated by Pivot Management(“we,” “us,” or “our”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Pivot COA provides public access to lab results and certificates of analysis for products associated with our brands. The Service may include product listings, brand indexes, batch identifiers, test dates, laboratory names, and downloadable PDF reports.

Staff-only tools (such as admin dashboards, order tools, and authenticated account features) are part of our internal systems and are available only to authorized users under separate access controls. These Terms apply to the public Service; authorized staff remain subject to their employer policies and any additional agreements with us.

You must be able to form a binding contract under applicable law to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement of a parent or legal guardian.

Product information and lab results on the Service may relate to age-restricted goods. Viewing COAs does not authorize purchase, possession, or use of any product in violation of local law.

Most public pages do not require an account. If you are given credentials or single sign-on access to non-public areas, you must:

• Keep your credentials confidential and secure
• Use access only for legitimate business purposes
• Notify us promptly at legal@pivotmgmt.co if you suspect unauthorized use

We may suspend or revoke access at any time if we believe these Terms or our security policies have been violated.

You agree not to:

• Use the Service in any way that violates applicable law or regulation
• Scrape, harvest, or bulk-download content in a manner that overloads or disrupts the Service, except through ordinary browser use or with our prior written permission
• Attempt to gain unauthorized access to systems, accounts, storage, or non-public data
• Interfere with or disrupt the integrity or performance of the Service
• Misrepresent lab results, remove watermarks or provenance from COAs, or use Service content to make false or misleading claims
• Reverse engineer, decompile, or attempt to extract source code except where such restriction is prohibited by law

Certificates of analysis and related lab data are provided for informational and transparency purposes. They reflect testing performed by third-party laboratories on specific batches at specific times.

• COAs are not medical, legal, or regulatory advice, and they do not create a professional relationship with you.
• Results apply to the tested batch and may not describe every unit of a product sold under the same name.
• We do not warrant that published results are complete, current, or free from laboratory or transcription error.
• Always follow product labels, applicable law, and guidance from qualified professionals.

The Service, including its design, text, logos, software, and compilation of content, is owned by Pivot Management or its licensors and is protected by intellectual property laws. Product names, brand names, and trademarks appearing on the Service remain the property of their respective owners.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Service for personal or internal business reference. You may download individual COA PDFs for legitimate reference related to products you purchased or are evaluating. You may not republish the Service's catalogs or systematically redistribute our content without prior written consent.

The Service may rely on hosting, authentication, storage, and other infrastructure providers. It may also link to third-party websites or laboratories. We are not responsible for third-party sites, services, or their practices. Your use of third-party services is governed by their own terms and privacy policies.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIVOT MANAGEMENT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless Pivot Management and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

We may update, suspend, or discontinue the Service (or any part of it) at any time. We may also revise these Terms. When we make material changes, we will update the effective date at the top of this page. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms or if we reasonably believe continued access would create risk or legal exposure. Upon termination, the license granted to you ends, but sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnity) will survive.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Exclusive venue for disputes arising out of or relating to these Terms or the Service will be the state or federal courts located in California, and you consent to personal jurisdiction there, except where prohibited by law.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the public Service and supersede prior agreements on that subject. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
